Can a leasehold property in Bali be transferred or resold? Understanding assignment, succession and the management of a hak sewa
By Mathieu MAILLOT — 7 min read

When it comes to investing in Bali, many French speakers discover the leasehold system (hak sewa), which is very different from full ownership (freehold) as it is known elsewhere. This lawful structure attracts people because it is accessible, but it raises essential questions: can a villa held on a long-term lease in Bali be resold, passed to heirs, or simply assigned to a third party like any other property? It is crucial to understand each stage in the life cycle of a property purchase in Bali in order to plan the steps as well as possible.
What is a leasehold (hak sewa) in Bali?
Hak sewa is a contractual right. Its term is the one written in the contract. There is no general term. Assignment, transfer and renewal are checked against the clauses and the applicable law. The contract covers a use. It does not transfer ownership of the land and does not, on its own, constitute an authorisation to operate.
This fundamental distinction between leasehold (hak sewa) and freehold (full ownership) should guide any strategy of a property investor in Bali. Hak milik is not open to foreigners. Hak sewa is a use for the term of the contract. It does not open a path to growth, and it is not the same as an HGB or a hak pakai.
Can a leasehold property in Bali be resold or assigned?
Whether a hak sewa can be resold or assigned depends on the clauses of the contract. Regulation No. 18 of 2021 concerns the ceilings for HGB and hak pakai, not the assignment of a hak sewa. Text of the regulation: PDF of regulation No. 18 of 2021. The assignment covers the right of use for the remaining term, without any transfer of the land.
Take care: some contracts restrict resale or require the written agreement of the landowner. A transfer commission may also be provided for. Before signing, these conditions must be checked with an independent local notary who has a command of French.
Transfer to a new buyer: what procedure should be followed?
To assign a leasehold to a new buyer, the landholder must be notified officially. Administrative or financial fees may apply in order to validate the transfer in the public register (BPN). Preparing all the documents in advance makes the transaction easier and avoids any interruption in the use of the property.
Specialist agencies orchestrate this type of operation and thus reassure expatriates and investors who want to protect the liquidity of their assets.
Term of the lease and value on resale: what is the impact?
The remaining term is read in the contract. It can enter a negotiation. It does not automatically push the price down or up, and it does not make a longer lease more stable.
Some agreements provide for an optional renewal clause with clear financial conditions. It is advisable to provide for this point from the negotiation, in order to maximise your chances of a later transfer or of future value.
Transfer and succession: how does it work in Bali?
On succession, the transfer of a leasehold in Bali follows strictly the rules of the signed contract and Indonesian legislation. An heir receives not full ownership, but only the remaining right until the leasehold expires.
To protect your family, the beneficiaries need to be named expressly in the contract or through a will recognised locally. Some leases also require the owner’s agreement in order to validate the transfer after death.
Heirs and formalities: what to provide for
Registering the heirs in advance at the time of purchase greatly simplifies the succession. Otherwise, additional steps will be necessary, and they can slow the effective transfer of the leasehold property. Thorough notarial planning in advance limits the risk of disputes and speeds up the procedures.
Paying attention when the lease is drafted therefore helps avoid unpleasant surprises in the event of an unexpected succession.
Leasehold compared with freehold in a succession
Unlike freehold, where the heirs obtain full ownership of the land transferred, a leasehold offers only a partial transfer, limited in time. A villa bought in full ownership can pass across several generations, which is not possible with a classic long-term lease.
Choosing between these formulas means ranking family, asset and tax priorities according to the investor’s profile.
Essential clauses to include when buying property in Bali
A solid leasehold contract must contain:
- The precise term of the long-term lease,
- The exact terms of resale or assignment,
- Any clause for sharing or for automatic renewal,
- The amount and the conditions of an extension of the lease,
- Clear identification of potential heirs,
- The landowner’s prior agreement to a transfer or a succession,
- The financial obligations attached to each stage.
The quality of the contractual drafting determines legal security as much as the design or the location of the property does, for any investor in Bali.
A scenario: assignment and transfer of a leasehold in Bali in practice
Let us imagine, as a specific example and not as a standard term, a French-speaking investor who acquired a 25-year hak sewa on a villa in Seminyak. Ten years later, he wants to sell his right to another expatriate. Thanks to a specific clause negotiated from the outset, the landowner quickly approves the transfer in return for a fixed commission. The new holder then enjoys the remaining 15 years and has his name registered with the national land office.
The same contract includes the ability to transfer the leasehold to an adult child resident in Bali. When the succession occurs, the steps are easier, because the file had anticipated every case, thus limiting risk and uncertainty for the family.
A practical checklist for investors in Bali
To secure the liquidity and the transferability of a leasehold property (hak sewa), here is an essential checklist before signature:
- Check the legal validity of the lease with an authorised notary,
- Provide written clauses on resale and transfer,
- Make sure of the owner’s agreement to any transfer,
- Have the heirs designated in writing in the contract,
- Negotiate, if possible, an extension or a renewal of the lease,
- Know all the ancillary costs linked to the assignment,
- Obtain a certified translation of the contract in order to avoid any misinterpretation.
Following these steps greatly increases your chances of realising value from, or transferring, a property investment in Bali smoothly.
FAQ on reselling and transferring a leasehold in Bali
Can I freely transfer my leasehold to my children?
Transfer of a leasehold depends mainly on the provisions of the initial contract and on the landowner’s agreement. A clear clause can specify the conditions of assignment or renewal. It does not guarantee them: its effects are checked according to the contract and the applicable law.
Inheriting a leasehold does not give access to full ownership: only the remaining right of use is covered by the succession.
What tax applies on the assignment of a leasehold in Bali?
Under Indonesian law, the assignment of a long-term lease generally gives rise to taxes similar to those on a classic property sale, and sometimes to a withholding made by the landowner. As local practice varies, it is recommended to consult a local tax expert before any operation.
Looking into this point from the investment project onwards avoids any unpleasant surprise.
What happens when the long-term lease expires in full?
At the end of the leasehold, the land and all the buildings normally return to the Indonesian owner, unless an explicit renewal clause was accepted in advance. Anticipating that date is essential in order to preserve your capital or to plan an advantageous resale.
Taking a clear lease, with defined options, gives better control of the asset over time in Bali.
Outlook and care when investing in a leasehold in Bali
Acquiring a villa on a leasehold (a long-term lease) opens the Balinese property market to foreigners, provided that all the local legal specifics are taken into account. Securing transfer and resale requires a careful reading and rigorous contractual preparation.
Before any step, it is essential to consult a professional who knows the local legislation and the dual system of leasehold and freehold. For asset-focused profiles, a thorough analysis makes it possible to avoid disappointment and to optimise both the liquidity and the succession of a property in Bali.
